Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

 

The Compensation Committee (the “Committee”) of the Board of Directors of Aptevo Therapeutics Inc. (“Aptevo”) approved modifications to Aptevo’s Senior Management Severance Plan (the “Plan”), which became effective on August 10, 2020.  The modifications to the Plan align the management levels of the Plan with the current senior management levels within the organization and ensure that the total compensation package for Aptevo’s senior management remains competitive.  The modifications to the Plan are the first since its inception in 2016.  Among other changes, the Executive Vice President level has been removed and the percentage of compensation payable to the Senior Vice Presidents in the event of termination in connection with a change of control (as defined in the Senior Management Severance Plan) increased from 125% to 150% of such participant’s base salary plus target bonus.
